If you have any questions about these terms, please contact abhiahuja1623@gmail.com IntroductionThis website roofup.in , including any subdomains thereof, and any other websites through which its services are made available, our mobile, tablet and other smart device applications, and application program interfaces etc, , (hereinafter collectively referred to as "Roof Up") is owned, hosted and operated by A9 Builder & Promoter and having its registered office at Abhishek Enclave, Bhamian Kalan, Ludhiana, Punjab - 141015 . These terms and conditions, privacy policy and community guidelines regulating use of these Services constitute a legally binding agreement between Roof Up and the User (the “Agreement”). Roof Up and/or any other website(s) linked to this website is an online information and communications service provided to you, subject to your compliance with the terms and conditions set forth below. A9 Builder & Promoter may amend/modify these terms and conditions at any time, and such modifications shall be effective immediately upon posting of the modified terms and conditions on Roof Up. You may review the modified terms and conditions periodically to be aware of such modifications and your continued access or use of Roof Up, shall be deemed conclusive proof of your acceptance of these terms and conditions, as amended/modified from time to time. A9 Builder & Promoter may also suspend the operation of Roof Up for support or technical upgradation, maintenance work, in order to update the content or for any other reason. If you utilize Roof Up in a manner inconsistent with these terms and conditions, A9 Builder & Promoter may terminate your access, block your future access and/or seek such additional relief as the circumstances of your misuse may be deemed to be fit and proper. Contents DefinitionsThe term Subscriber/User would include any person, whether an individual or a legal entity who has subscribed to the Services of Roof Up (whether on a paid or free basis), and to whom the access to Roof Up is restricted by the use of a sign in user name and a password. The user name and password are either allotted by Roof Up or chosen by the Subscriber or agreed upon by Roof Up. It is made abundantly clear that only the authorized User has the right to access the Services so offered by Roof Up. The term Browser/Visitor will mean and include a person who utilizes any of the Services offered by Roof Up, without the need or a requirement to create an account i.e. visits non-restricted portions of Roof Up.The term Advertiser would include a Subscriber/User uploading or relaying content using the Services. The use and access to Roof Up shall be subject to these terms and conditions and community guidelines. For the purposes of this Agreement, any person who does not have a legal or a contractual right to access the Services, but does so, will fall within the definition of an 'unauthorized user' and will nevertheless be subject to the terms and conditions regulating the usage of Roof Up, and expressly so with respect to respecting the intellectual property rights of the A9 Builder & Promoter, and abiding by terms and conditions below mentioned. The terms 'User' and 'Customer' would include both the Subscriber/Advertiser(s) and Browser/Visitor(s). The terms 'Service' or 'Services' would mean to include the interactive online information service offered by Roof Up on the internet through which the user may access information carried by Roof Up in the database maintained by it. The terms would also include to mean the search tools through which the User can search through the hosted databases and information using a number of search tools that are present with a selection matching their search criteria. The term would also include services by way of space used by customers for advertisements such as listings and banners. Users then select one or more of the items presented to view the full document/ record. The term Service does not extend to Roof Up acting as an agent either express or implied on behalf of any User/Customer and is merely acting as a medium of information exchange. The term RERDA shall mean and include the Real Estate (Regulation and Development) Act, 2016 (http://mhupa.gov.in/User_Panel/UserView.aspx?TypeID=1535) as amended read with any rules or regulations that might be framed thereunder. Submission and administration of listings/advertisementsUser agrees not to submit any property descriptions, photographs, financial, contact or other information contained in each property's data to Roof Up unless the User submitting such a Listing/Advertisement has acquired and received all necessary rights and authorizations from the owner of such property or the power-of-attorney holder, including from the photographer and/or copyright owner of any photographs, to publish and advertise the said Property(s) on the User's website or on Roof Up. Similarly, Roof Up does not take any ownership, directly or indirectly towards any person whatsoever, with respect to banners hosted on its website by its customers, which are strictly in the nature of sale of space by 99acre & it has not carried out any independent verification on the authenticity or compliance requirements, as may have been required under any law for the time being in force, of such images/ banners/ listings. Some listings may contain third party audio/video content ("AV Content”) provided for general informational purposes only and such content does not constitute a recommendation or solicitation or intends to influence any type of purchase or decision. No guarantees are made by Roof Up or the providers of the AV content as to its accuracy or completeness.The User agrees to the use of any content or information provided to A9 Builder & Promoter/Roof Up for promotional, marketing, and publicity purposes without any compensation. Where you provide us with voice samples or voice recordings to generate voiceovers for video listings, you provide us with a royalty-free, irrevocable, worldwide, sublicensable, and transferable right and licence to use, modify, and further develop the voice samples and voice recordings in a manner that Roof Up deems fit. In case a User is covered under the RERDA, it shall obtain all requisite approvals, licenses and permits issued by the competent authorities with respect to the Project/Land/Apartment/Plot in the listing, by following the due process of law. Further, the User shall, at all times, remain in compliance with all applicable Laws in relation to the Project/Land/Apartment/Plot in the listing. The User shall disclose all material information as required by LMA and in respect of their registrations under RERDA and all such property(s) submitted including the present status and nature of such property and shall also disclose whether the property is free from all encumbrances or not. The User shall disclose all material factual information as regarding the property being advertised, its correct dimensions as also in respect of their registrations under RERDA and all such property(s) submitted including the present status and nature of such property and shall also disclose whether the property is free from all encumbrances or not. The User in addition shall furnish a brief background of such property in respect of title, ownership and possession, A9 Builder & Promoter may also require the User to support his/her claims with respect to the status of the property with such documents as may be specified by it from time to time. The User may further be required to substantiate his claims as to the nature and status of the property by swearing an affidavit stating the authenticity of the information/data so provided/displayed. A9 Builder & Promoter may, at its sole discretion but without any obligation to, search for such and remove properties that are alleged to have been submitted in violation of this provision. In addition, A9 Builder & Promoter may require additional evidence of compliance with this provision from Users who are alleged to have submitted properties or other information/data in violation of these terms and conditions. A9 Builder & Promoter will, in its sole discretion, terminate the accounts of, and refuse Service to, any User who repeatedly or intentionally violates these terms and conditions. Additionally, the User agrees to allow the Property listing, or any part of it, to be searched, displayed, accessed, downloaded, copied, and otherwise referred to by users of the User's website or the Roof Up website. A9 Builder & Promoter shall have the sole authority to choose the manner in which any Property will be searchable, displayed, accessed, downloaded, copied, and otherwise used on Roof Up and A9 Builder & Promoter shall have the right to modify the property listing in the exercise of its rights under these terms and conditions. In addition to the terms aforementioned the User agrees (a) To represent and warrant that all Properties and associated information provided by the User will be accurate; (b) That the User will not permit the posting of a property on Roof Up under a name other than the name of a real estate agent who has been duly authorized and engaged by the owner of the property in this regard; A9 Builder & Promoter shall place the information relating to properties at defined sections of Roof Up or such other mirror or parallel site(s). A9 Builder & Promoter reserves, in a manner consistent with reasonable commercial business practices, the right to remove all or any part of the Properties posted on the User's website or on Roof Up without notice. A9 Builder & Promoter accepts no responsibility for checking/verifying the accuracy of reports or data files submitted by the User. While A9 Builder & Promoter shall take all reasonable efforts for data backup and business resumption, the User will be solely responsible for retaining back-up copies of all information, photographs and other materials furnished/submitted to Roof Up. Users, who are buying/renting property/properties through Roof Up, must verify details the property/properties as well as its right, title, ownership, lien etc. on their own. The ‘verified’ tag visible on property/properties on Roof Up merely indicates the verification of the existence of the property in the manner it has been advertised. At no point shall the ‘verified’ tag be construed to be a verification of any documentation, ownership details, area or pricing details of the property/properties. Content We employ proprietary and third-party AI tools to identify and address harmful content on our platform. These tools are designed to take reasonable efforts towards detecting violations of platform terms and applicable laws, including harmful behavior such as speech that violates our platform terms. Automated moderation may operate automatically or with human oversight, depending on the complexity of the content and internal guidelines. Based on the output of technological moderation, content may be approved, rejected, or escalated to a second level of review by human moderators. These tools rely on third-party services to provide the detection and moderation capabilities. Our automated tools function as part of a multi-layered moderation process. Please note that users have the right to raise grievances or appeal moderation decisions in accordance with our platform terms [ Grievances ] and such feedback will be reviewed in accordance with established timelines, including by human moderators where necessary. These tools are part of our ongoing efforts to improve moderation capabilities and ensure compliance with legal and platform standards. While we endeavour to maintain accuracy and fairness, no system is perfect. The measures are implemented on an “as is” basis, and we will continue to refine them in collaboration with external service providers to better protect our community. Payment Terms • Payments for the Services offered by Roof Up shall be on a 100% advance basis. The payment for Service once subscribed to by the subscriber is not refundable and any amount paid shall stand appropriated. Refund if any will be at the sole discretion of A9 Builder & Promoter. A9 Builder & Promoter offers no guarantees whatsoever for the accuracy or timeliness of the refunds reaching the Users card/bank accounts. User acknowledges and agrees that A9 Builder & Promoter/Roof Up.com, at its sole discretion and without prejudice to other rights and remedies that it may have under the applicable laws, shall be entitled to set off the amount paid or payable by a subscriber/user against any amount(s) payable by User to A9 Builder & Promoter under any other agreement or commercial relationship towards other products/services. A9 Builder & Promoter gives no guarantees of server uptime or applications working properly. All is on a best effort basis and liability is limited to refund of amount only. A9 Builder & Promoter. undertakes no liability for free Services. A9 Builder & Promoter. reserves its right to amend / alter or change all or any disclaimers or terms of agreements at any time without any prior notice. All terms / disclaimers whether specifically mentioned or not shall be deemed to be included if any reference is made to them. • A9 Builder & Promoter uses the maximum care as is possible to ensure that all or any data / information in respect of electronic transfer of money does not fall in the wrong hands. For completing online transactions involving payments a user is directed to a Payment Gateway, A9 Builder & Promoter does not store or keep credit card data. Since the transaction happens on a third-party network not controlled by A9 Builder & Promoter, once a credit card transaction has been completed, the payment information is not accessible to anyone at A9 Builder & Promoter after completion of the on-line transaction at the Payment Gateway, this ensures the maximum security. • A9 Builder & Promoter shall not be liable for any loss or damage sustained by reason of any disclosure (inadvertent or otherwise) of any information concerning the user's account and / or information relating to or regarding online transactions using credit cards / debit cards and / or their verification process and particulars nor for any error, omission or inaccuracy with respect to any information so disclosed and used whether or not in pursuance of a legal process or otherwise. Refund in failed transactionsThough A9 Builder & Promoter payment reconciliation team works on a 24 x 7 basis, A9 Builder & Promoter offers no guarantees whatsoever for the accuracy or timeliness of the refunds reaching the Subscribers card/bank accounts. This is on account of the multiplicity of organizations involved in processing of online transactions, the problems with Internet infrastructure currently available and working days/holidays of financial institutions. Refunds in the event of wrong/objectionable property content being posted on the site would be at the discretion of Roof Up. If you utilize Roof Up in a manner inconsistent with these terms and conditions, A9 Builder & Promoter may terminate your access, block your future access and/or seek such additional relief as the circumstances of your misuse may be deemed to be fit and proper. CREDIT BUREAU CREDIT SCORE TERMS & CONDITIONS This End User Agreement (the “Agreement”) is made between you (the “User” or “You”) and A9 Builder & Promoter, Abhishek Enclave, Bhamian Kalan, Ludhiana, Punjab - 141015 (“Roof Up”, “Us” or “We”, which term shall include its successors and permitted assigns). The User and Roof Up shall be collectively referred to as the “Parties” and individually as a “Party”. You hereby consent to Roof Up being appointed as your authorized representative to receive your Credit Information from EXPERIAN/CIBIL/EQUIFAX for the purpose of evaluating your profile towards eligibility to avail personal / home loan, etc ("End Use Purpose”). BY EXECUTING THIS AGREEMENT / CONSENT FORM, YOU ARE EXPRESSLY AGREEING TO ACCESS THE EXPERIAN/CIBIL/EQUIFAX CREDIT INFORMATION REPORT AND CREDIT SCORE, AGGREGATE SCORES, INFERENCES, REFERENCES AND DETAILS (AS DEFINED BELOW) (TOGETHER REFERRED AS “CREDIT INFORMATION”). YOU HEREBY ALSO CONSENT TO SUCH CREDIT INFORMATION BEING PROVIDED BY EXPERIAN/CIBIL/EQUIFAX TO YOU AND Roof Up BY USING EXPERIAN/CIBIL/EQUIFAX TOOLS, ALGORITHMS AND DEVICES AND YOU HEREBY AGREE, ACKNOWLEDGE AND ACCEPT THE TERMS AND CONDITIONS SET FORTH HEREIN. Terms and Conditions: Information Collection, Use, Confidentiality, No-Disclosure and Data Purging Roof Up shall access your Credit Information as your authorized representative and Roof Up shall use the Credit Information for limited End Use Purpose consisting of and in relation to the services proposed to be availed by you from Roof Up. We shall not aggregate, retain, store, copy, reproduce, republish, upload, post, transmit, sell or rent the Credit Information to any other person and the same cannot be copied or reproduced other than as agreed herein and in furtherance to applicable law including the CICRA. The parties agree to protect and keep confidential the credit information both online and offline. The Credit Information shared by you, or received on by us on your behalf shall be destroyed, purged, erased immediately upon the completion of the transaction/ End Use Purpose for which the Credit Information report was procured, this period not being longer than 6 months. If you wish to revoke the consent granted to Roof Up under this End User Agreement, please contact us at abhiahuja1623@gmail.com Governing Law and Jurisdiction The relationship between you and Roof Up shall be governed by laws of India and all claims or disputes arising there from shall be subject to the exclusive jurisdiction of the courts of Mumbai. Definitions: Capitalized terms used herein but not defined above shall have the following meanings: “Business Day” means a day (other than a public holiday) on which banks are open for general business in Mumbai. “Credit Information Report” means the credit information / scores/ aggregates / variables / inferences or reports which shall be generated by EXPERIAN/CIBIL/EQUIFAX. “Credit Score” means the score which shall be mentioned on the Credit Information Report which shall be computed by EXPERIAN/CIBIL/EQUIFAX. “CICRA” shall mean the Credit Information Companies (Regulation) Act, 2005 read with the Credit Information Companies Rules, 2006 and the Credit Information Companies Regulations, 2006, and shall include any other rules and regulations prescribed thereunder. GRANT OF RIGHTS TO Roof Up’S FINANCE PARTNERS: i. Notwithstanding anything contained herein and in Roof Up's Privacy Policy, the User authorizes Roof Up to share with its finance partners, any and all information that the User may provide in relation to the use of the Site for availing the products and/or service of Roof Up’s finance partners. ii. By clicking on the "Apply Now/Submit/Contact Now / Continue" tab: (a) The User agrees and authorizes Roof Up’s finance partners to contact the User and communicate with the User over emails, telephonic calls, or SMS on the mobile number mentioned on the Site, or through any other communication mode, to verify the details provided by the User on the Site or to verify the information provided by the User during registration on the Site. (b) The User confirms that the User would like to know through the above-mentioned communication modes, about the various offers and promotion schemes relating to various products/services offered by Roof Up’s finance partners/its group companies, from time to time. (c) The User further agrees and confirms that the laws in relation to the unsolicited communication referred to in the "National Do Not Call Registry" (the "NDNC Registry") as laid down by the Telecom Regulatory Authority of India will not be applicable for such communication/calls/ SMS received from Roof Up’s finance partners, its group companies, employees, representatives and/or agents. (d) The User authorizes Roof Up’s finance partners to exchange and share all information and details, as provided by the User on the Site, with third parties, including but not limited to Roof Up’s finance partners' group companies, service providers, financial institutions, credit bureaus, telecommunication companies, statutory bodies, etc., for customer verification, personalization of products or services, credit rating, data enrichment, marketing or promotion of services or related products of Roof Up’s finance partners or that of its associates and affiliates or for enforcement of the User’s obligations. In this regard, the User agrees that it shall not hold Roof Up’s finance partners (or any of its group companies or its/their employees/agents/representatives) liable for using/sharing of the information as stated above. (e) The User understands and agrees that pursuant to this application form, the User will be required to submit documents to the satisfaction of Roof Up’s finance partners and accept the loan terms and conditions as prescribed by Roof Up’s finance partners in relation to the products and/or service applied by the User. “I, as a subscriber/ User of the services offered through the web portal Roofup.in, do herby expressly authorize Roofup.in and any of their business associates to call/ SMS my/our registered phone numbers (as provided by me / us to Roof Up.in). I hereby expressly state that such authorization shall override the national Do-Not-Disturb Registry ("DND"), even if the phone numbers in question are registered under DND list of national Consumer preference registry (NCPR/NDNC). I/we also undertake that I/We will not make any complaints to NDNC for any calls received from Roofup.in services/ products, and shall indemnify Roofup.in and any of its business associates for having engaged in any such practice. I realize, acknowledge and expressly authorize Roof Up.in to make the initial communication (via Call / SMS / E-mail/WhatsApp) for the purposes of confirmation of my credentials provided by me. I hereby authorize Roofup.in and its business associates to continue contacting me via any of the modes of communication listed above, till such time as I expressly opt-out / unsubscribe from the service offered by Roofup.in. Till such time, Roofup.in and its business associates shall have all rights to continue communicating with me and I shall completely indemnify them against any liability that may arise as a result of such authorization to communicate. Such indemnification shall extend to court cases and suits and all lawyer / advocate fees, even if the dispute is never subjected to judicial scrutiny.” Disclaimer Roof Up is a platform which acts a medium for allowing people having converging interests involving real estate transactions, namely the buyer/tenant and owner/broker. Roof Up is merely a preliminary medium of contact and exchange of information, users are strongly advised to have independent third party verifications (whether marked verified or not) prior to proceeding with any transactions involving real estate. The onus of finding a genuine property, be it for purchase or rental purpose, lies on the user. For further information, you are advised to check the terms and conditions regulating use of Roof Up CPL Marketing Campaigns with Developers and Agents/Brokers 1. In case of CPL marketing campaigns, A9 Builder & Promoter shall endeavor to deliver agreed number of leads at agreed cost per lead. 2. In case of CPL marketing campaigns A9 Builder & Promoter reserves right, in its sole discretion, to decide and deploy the channel/product for advertising to generate leads. 3. A9 Builder & Promoter reserves right at its sole discretion, to stop any campaign on either completion of its obligation for leads delivery or upon non receipt of amount as stipulated under agreed terms. 4. A9 Builder & Promoter neither guarantees nor participates in nor is privy to potential conversion of delivered leads or any possible transactions as a consequence thereof in any manner whatsoever. A9 Builder & Promoter is an intermediary under the provisions of IT act 2000. A lead is contact details of a user who has consented to be contacted about A9 Builder & Promoter advertised properties or projects or other similar properties. 5. Any advance or amount received against such invoice is non-refundable. 6. The customer agrees to strictly adhere to applicable data privacy law with respect to the leads delivered by A9 Builder & Promoter. 7. A9 Builder & Promoter shall not be liable for any loss, direct or indirect, to anyone on account of any reason whatsoever. 8. If the same lead(s) is generated for the same project within 30 days of the 1st unique lead generation date, A9 Builder & Promoter will consider the recurring lead(s) as duplicate and not charge the duplicate count. In all other scenarios, lead will be considered as unique. 9. The customer shall be responsible for the protection of personal data contained in all leads, as per applicable law, and it understands that the limited consent obtained by A9 Builder & Promoter is for the purposes of enabling it to share the lead with the Customer. Video Community GuidelinesUser agrees to comply with the following community guidelines while submitting video content for listings/advertisements: • Video should be original, free from any copyright issue • Video should not contain any personally identifiable information of the User/Agency • Video content should not be obscene/inappropriate • Video should not contain language which is detrimental to any community/segment Video Content ScreeningVideos shared by user shall go through multiple stages of screening (human and technology driven) before going live on the platform. In case of violations with the community guidelines, the video content shall be duly removed from the listing.Additionally, the video screening process shall also be carried out in the following cases: • User reporting the video to toll free/email ids • Infringement claim by agent/user The video shall be removed from the platform in case the claim is found to be correct. Final discretion on video screening and removal shall always lie with Platform.Agents shall have the option to edit or remove videos during the course of the listing duration.Roof Up shall utilize 3rd party services such as You-tube for hosting and streaming these videos. While doing so, the site and the users on the site shall be compliant with respect to You-tube Terms of Service https://www.youtube.com/t/terms and Youtube API Services - Developer Policies. Use of InformationUser agrees to treat all information obtained from the Service, including listings, member directory, and any information otherwise made available to User in the Service ("Content") as proprietary to Roof Up. User agrees that Content reserved for members will be maintained as confidential and shall be protected as a trade secret of Roof Up. Roof Up does not ensure the accuracy of, endorse or recommend any Content and a User uses such Content at the User's own risk. A User may access the listings/advertisements in the Service solely to obtain initial information from which further evaluation and investigation may commence. User shall limit access to and use of listings to personal and internal use, and shall not use listings obtained from the Service for further distribution, publication, public display, or preparation of derivative works or facilitate any of these activities in any way.User shall not use or reproduce any Content that is obtained from the Service, or that is otherwise made available to User in the Service, for or in connection with any other listing/advertising Service or device. User further shall not use the Service provided by the company in any other manner for or in connection with any other listing Service or device. Users violating these specific terms, specifically those Users searching the Service in an abusive or excessive manner, by automated or manual means, shall be subject to immediate termination of their membership without notice. Intellectual property rightsAll logos, brands, trade marks and Service marks ("Marks") appearing in Roof Up are the properties either owned or used under license by A9 Builder & Promoter and / or its associates. All rights accruing from the same, statutory or otherwise, wholly vest with A9 Builder & Promoter / its associates. The access to Roof Up does not confer upon the User any license or right to use in respect of these Marks and therefore the use of these Marks in any form or manner, whatsoever is strictly prohibited. Any violation of the above would constitute an offence under the prevailing laws of India.A9 Builder & Promoter respects the Intellectual Property Rights of all, it has and will continue to adhere to all the laws applicable in India in this respect. A9 Builder & Promoter shall protect and respect the Intellectual Property Rights of the users as well as third parties to the best of its ability. In a case where a User(s) are found to be using Roof Up as a platform to infringe the Intellectual Property Rights of others, A9 Builder & Promoter will be free to terminate this Agreement forthwith without any notice to the user.By allowing Users to access Roof Up, A9 Builder & Promoter grants the Users a limited, non-exclusive, non-assignable, revocable license (the "License") to access and use the Services, provided that the User is in compliance with the terms and conditions of the Agreement. Restrictions/Prohibitions1. The following actions will inter alia constitute a misuse of Roof Up and are strictly prohibited: a. Utilising the Services offered by Roof Up in any manner so as to impair the interests and functioning of A9 Builder & Promoter/Roof Up and which is non-compliant with laws and regulations including RERDA. b. Copying, extracting, downloading, sharing, modifying, selling, storing, distributing, making derivate works from or otherwise exploiting any content, data, information, including profiles, personal details, photographs and/or graphics, available on Roof Up and/or any services or products of the A9 Builder & Promoter, in any manner or for any purpose which is not, consistent with in accordance with the Terms of Use. Users are expressly prohibited from using or exploiting Roof Up and/or any content or data provided therein for: • Any commercial purposes such as creating alternate databases, extending access to Roof Up to third parties without prior written consent of the A9 Builder & Promoter; and/or • Undertaking any business activity which is in competition with the business of A9 Builder & Promoter; and/or • Sharing access with persons who are not contracted with the A9 Builder & Promoter. • Reselling the products/services offered by the A9 Builder & Promoter. c. (Using or attempting to use any automated program, software or system or any similar or equivalent process (including spiders, robots, crawlers etc.) to access, navigate, search, copy, monitor, download, scrape, crawl or otherwise extract in any manner, any data or content including but not limited to adding or downloading profiles, contact details, or send or redirect messages from Roof Up; d. Gaining or attempting to gain unauthorized access (inter alia by hacking, password “mining” or any other means) to: (a) any portion or feature of Roof Up or any of the services or products offered on or through Roof Up which are not intended for you; (b) any server, website, program or computer systems of the A9 Builder & Promoter or any other third parties and/or Users; e.Modifying the services provided through Roof Up or their appearance using any technology or overlay any additional offering on top of such services or simulate Roof Up’s services or its functions in any manner whatsoever without explicit consent obtained in writing by approach us at abhiahuja1623@gmail.com f. Accessing Roof Up through interfaces other than those expressly provided by A9 Builder & Promoter; g. THIRD PARTY CONTENT Third party content may appear on Roof Up or may be accessible via links from Roof Up. Roof Up is not responsible for and assumes no liability for any mistakes, misstatements of law, defamation, slander, libel, omissions, falsehood, obscenity or profanity in the statements, opinions, representations or any other form of information contained in any third party content appearing on Roof Up. You understand that the information and opinions in the third party content is neither endorsed by nor does it reflect the belief of Roof Up. XVI. UNLAWFUL ACTIVITY Roof Up reserves the right to investigate complaints or reported violations of the Agreement and to take any action Roof Up deems appropriate including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to user profiles, e-mail addresses, usage history, posted materials, IP addresses and traffic information. XVII. REMEDIES FOR VIOLATIONS Roof Up reserves the right to seek all remedies available at law and in equity for violations of the Agreement, including but not limited to the right to block access from a particular Internet address to Roof Up and its features. XVIII. CONFLICTS CHECKS The user understands that registered advisors will not be able to and will not perform a check for conflicts of interest between the user and other clients of the registered advisors prior to responding to a request. Conflict checks require the user to provide their name and contact information and the identity of any affiliated entities, opposing individuals and entities, and such other information as advisors may require. Conflict checks by registered advisors who obtains information from the user through this service are not possible since submissions by the user to subscribing advisors are not sufficient to conduct such a check. XIX. SEVERABILITY OF PROVISIONS The Agreement and the Privacy Policy constitute the entire agreement with respect to the use of the service provided by Roof Up. If any provision of these terms and conditions is unlawful, void or unenforceable then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability. XX. MODIFICATIONS TO TERMS OF USE Roof Up may change the agreement at any time. The user will be responsible for checking the Terms and Conditions before use. Use of the service after the change will indicate acceptance of the new terms and conditions. XXI. MODIFICATIONS TO SERVICE Roof Up reserves the right to modify or discontinue, temporarily or permanently, the service with or without notice to the user. The user agrees that Roof Up shall not be liable to the user or any third party for any modification or discontinuance of the service. The user acknowledges and agrees that any termination of service under any provision of this agreement may be effected without prior notice, and acknowledges and agrees that Roof Up may immediately delete data and files in the user's account and bar any further access to such files or the Service. XXII. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY A great danger for Roof Up, and for all operators of online systems, is that we might be held accountable for the wrongful actions of our users. If one user libels another user, the injured user might blame us, even though the first user was really at fault. If a user uploads a program with a computer virus, and the other users' computers are damaged, we might be blamed even though a user left the virus on our System. If a user transmits illegal or improper information to another user, we might be blamed even though we did nothing more than unknowingly carry the message from one user to another. Accordingly, we need all users to accept responsibility for their own acts, and to accept that an act by another user that damages them must not be blamed on us, but only on the other user. Although it is the goal of Roof Up to provide users with reliable and quality systems, we may make mistakes or experience system failure from time to time. Such problems are inevitable in operating a system of this size. We would not be able to make this system available to users if we had to accept blame or financial liability for any usability problems, system failures or errors, or mistakes or damages of any kind. In order to continue offering and improving our service, Roof Up must deny any warranties on this service and state that our liability for any problems connected with the use of our system is strictly limited. These needs are accomplished by the following disclaimers: (a) Disclaimer of Warranties The user expressly agrees that use of the service is at the user's sole risk. The service is provided on an "as is" and "as available" basis. Roof Up expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Roof Up makes no warranty that the service will meet a user's requirements, that the service will be uninterrupted, timely, secure, or error-free; nor does Roof Up make any warranty as to the results that may be obtained from the use of the service or as to the accuracy or reliability of any information obtained through the service or that defects in the software will be corrected. Roof Up makes no warranty regarding any goods or services purchased or information obtained through the service or any transactions entered into through the service. No advice or information, whether oral or written, obtained by the User from Roof Up shall create any warranty not expressly stated herein. (b) Limitation of Liability The user agrees that Roof Up shall not be liable for any direct, indirect, incidental, special or consequential damages resulting from the use or the inability to use the service or for the cost of procurement of substitute goods and services or resulting from any goods or services purchased or obtained or messages received or transactions entered into through or from the service or resulting from unauthorized access to or alteration of user's transmissions or data, including, but not limited to damages for loss of profits, use, data or other intangibles, even if Roof Up has been advised of the possibility of such damages. The user further agrees that Roof Up shall not be liable for any damages arising from interruption, suspension or termination of service, including, but not limited to direct, indirect, incidental, special, consequential or exemplary damages, whether or not such interruption, suspension or termination was justified, negligent, intentional or inadvertent. XXIII. ARBITRATION Any controversy or claim arising out of or relating to this Agreement or Roof Up services shall be settled by binding Arbitration in accordance with laws of India. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. Any other dispute or disagreement of a legal nature will also be decided in accordance with the laws of India, and the Courts of Ludhiana, Punjab shall have jurisdiction in all such cases. XXIV. OWNERSHIP This Site/Roof Up app is owned and operated by Roof Up ( A9 Builder & Promoter ). All right, title and interest in and to the materials provided on this Site/app, including but not limited to information, documents, logos, graphics, sounds and images (the "Materials") are owned by Roof Up(A9 Builder & Promoter). Except as otherwise expressly provided by Roof Up, none of the materials may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted or distributed in any way and nothing on this Site shall be construed to confer any license under any of Roof Up's intellectual property rights, whether by estoppel, implication or otherwise. If at any time you find these Terms and Conditions unacceptable or if you do not agree to these Terms and Conditions, please do not use this Site/app. We may revise these Terms and Conditions at any time without notice to you. By using Roof Up services or accessing the Roof Up site/app, you acknowledge that you have read these terms and conditions and agree to be bound by them. XXVI. INDEMNIFICATION You agree to defend, indemnify and hold harmless Roof Up, our officers, directors, shareholders, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the site and the materials. CANCELLATION AND REFUND POLICY We strive to ensure that the services you avail through our website are to your full satisfaction, and are the best in the Industry at extremely reasonable and affordable rates. However, there may arise situations when you desire a refund. Firstly, when you pay for the services but later on decide that you do not wish to avail them. Roof Up shall store and process such information regardless of whether a Real Estate that had been advertised earlier continues to remain available or not. Roof Up may use your application materials (including public profile consisting of your personal details and responses to advertiser/seller’s questions) to determine whether you may be interested in a Real Estate Listing, and Roof Up may reach out to you by way of calls/SMS/Emails etc. about such Real Estate Listing or other similar properties of a like nature (even though you may have registered with National Preference Register (NCPR). • Information you post in public areas of Roof Up sites or applications or make visible in your profile, may be accessed, used, and stored by others around the world, including those in countries that might not have legislation that guarantees adequate protection of personal information as defined by your country of residence. While Roof Up takes measures to safeguard your information from unauthorized access or inappropriate use, Roof Up does not control these third parties and we are not responsible for their use of information you give to us. Terms of conditions specific for dealers/ builders/ banks/Payment Gateways • You will comply with all applicable Data Protection Laws in relation to the Processing of personal data; and not process personal data which is irrelevant, in an unlawful manner and excessive with regard to agreed purposes as defined in the privacy policy and these terms and conditions • You shall implement adequate technical and organizational controls to protect the shared personal data obtained from Roof Up against unauthorized or unlawful processing and against accidental loss, destruction, damage, alteration or disclosure • You agree to provide reasonable assistance as is necessary to facilitate the handling of any Data Security Breach (as applicable the privacy law as applicable) in an expeditious and compliant manner • You agree that the responsibility for complying with a the request of an individual with respect to his/her personal data lies with the Party which holds/processes the personal data collected/shared • You warrant and represent that the institution shall not disclose or transfer Personal Data obtained from Roof Up to any sub-processors without ensuring that adequate and equivalent safeguards to the Personal Data. • You shall retain or process shared personal data for no longer than is necessary to carry out the agreed purposes. ArbitrationIf any dispute arises between a user/users and A9 Builder & Promoter arising out of use of the website or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of these terms and conditions, the dispute shall be referred to a sole Arbitrator who shall be an independent and neutral third party. Decision of the Arbitrator shall be final and binding on both the parties to the dispute. The place of arbitration shall be Ludhiana, Punjab.
